SUNSET LITTLE LEAGUE
CONSTITUTION
This organization will be known as the Sunset Little League of Stockton, Inc., hereafter referred to as "Sunset."
Section 1.
The objective of Sunset is to instill the ideals of good sportsmanship, honesty, loyalty, courage and respect for authority to the children of the community, and to support them to be well-adjusted, stronger and happier children that grow to be good, decent, healthy and trustworthy citizens.
Section 2.
To achieve this objective Sunset will provide a supervised program under the Rules and Regulations of Little League Baseball, Incorporated. Directors, Player Members, and Regular Members will bear in mind that the attainment of exceptional athletic skill or the winning of games is secondary, to providing positive motivation to meet the objective set forth in Article II, Section 1.
Section 3.
In accordance with Section 501(c)(3) of the Federal Internal Revenue Code, Sunset will operate exclusively as a nonprofit educational organization providing a supervised
program of competitive baseball games. No part of Sunset's net earnings will benefit any individual.
Section 4.
No substantial part of the activities of Sunset will promote propaganda, or otherwise attempt to influence legislation, nor will Sunset participate in or intervene in any political campaign on behalf of any candidate for public office.
ARTICLE III - MEMBERSHIP
Section 1.
ELIGIBILITY. Any person sincerely interested in active participation to accomplish the objective of Sunset may apply to become a member.
Section 2.
CLASSES. There will be the following classes of Members:
a) PLAYER MEMBERS. Any player candidate meeting the requirements of Little League Regulation IV, and who resides within the authorized boundaries of Sundown, will be eligible for participation in Sunset's programs, but will have no rights, duties or obligations in the management or in the property of Sunset.
b) REGULAR MEMBERS. Any adult person actively interested in furthering the objective of Sunset may become a Regular Member upon election and payment of dues in accordance with Article IV, Section 1, below. The Secretary will maintain the roll of Regular Members in good standing. All Officers, Board Members, Committee Members, Managers, Coaches, Volunteer Umpires and other elected or appointed officials must be active Regular Members in good standing. Only Regular Members in good standing are eligible to vote at General Membership Meetings. Note: Regular Members of the league automatically include all current Board Members, Officers of the Board, Managers, Coaches, and Volunteer Umpires.
Section 3.
SUSPENSION OR TERMINATION. Membership may be terminated by resignation or action of the Board of Directors.
a) By a two‑thirds vote of those present at any duly constituted meeting, the Board of Directors will have the authority to discipline, suspend or terminate the membership of any Member of any class when the conduct of a Member is determined to be detrimental to the objective of Sunset and/or Little League Baseball. The Member involved will be notified of a meeting to discuss the issues, informed of the general nature of the issues, and be given an opportunity to appear at the meeting.
b) The Board of Directors will, in the case of a Player Member, give notice to the manager of the team of which the player is a member. Said manager will appear, in the capacity of an adviser, with the player and/or parent or authorized representative before a duly constituted meeting of the Board of Directors. The Board of Directors, by a two-thirds vote, has authority to suspend or revoke a Player Member’s right to future participation.
ARTICLE IV ‑ DUES
Section 1.
Dues for Members may be fixed at such amounts as the Board of Directors will determine prior to the beginning of any membership period. Dues for Regular Members are $1.00 per person. One dollar ($1.00) from each player's registration fee may be allocated to one (1) parent or authorized representative of that player who will then be a Regular Member in good standing. A second parent or authorized representative may elect to pay an additional $1.00 and thereby become a Regular Member in good standing.
Section 2.
A reasonable Little League participation fee may be assessed as a parent's obligation to help assure the operational continuity of Sunset. At no time will payment of any fee
be a prerequisite for participation by a player in Sunset. See, Regulations of Little League Baseball XIII(c).
ARTICLE V ‑ GENERAL MEMBERSHIP MEETINGS
Section 1.
ANNUAL MEETING. Sunset's annual general membership meeting will be held each year on the second Monday of August at 7:00 PM for the purpose of electing Officers, for Members to receive an annual report, and for the transaction of such business as may properly come before the membership.
Section 2.
SPECIAL MEETINGS. Special meetings of the Members may be called by the Board of
Directors, Secretary or President at their discretion. Upon the written request of ten (10) Regular Members, the President will call a special meeting to consider a specific subject. No business other than that specified in the notice of the meeting will be transacted at any special meeting of the Members.
Section 3.
NOTICE OF MEETINGS. Notice of each meeting of the Members will be mailed or otherwise delivered to each Member at his or her last recorded address at least ten (10) days in advance thereof setting forth the place, time and purpose of the meeting or, in lieu thereof, notice may be given in such form as may be authorized by the Voting Members, from time to time, at a regularly convened meeting.
Section 4.
QUORUM. The presence in person of fifteen (15) Regular Members will be necessary to constitute a quorum.
Section 5.
VOTING. Only Regular Members are entitled to vote on any and all matters which properly come before the members at Annual or Special Meetings.
Section 6.
ABSENTEE BALLOTS. Absentee voting or proxy is not authorized.
Section 7.
RULES OF ORDER. Roberts Rules of Order will govern the proceedings of all meetings, except where same conflicts with the Constitution of Sunset.
ARTICLE VI ‑ BOARD OF DIRECTORS
Section 1.
BOARD AND NUMBER. The management of the property and affairs of Sunset will be vested in the Board of Directors. The number of Directors will be not less than five (5) nor more than twenty (20). The Directors will upon election or appointment immediately enter upon the performance of their duties and will continue in office until their successors have been duly elected or appointed.
Section 2.
REQUIRED MEMBERS. The Board membership will include the Officers and a minimum of one manager and one volunteer umpire. (Only volunteer umpires may be elected to the Board.) The number of managers and coaches, from all divisions (T‑Ball, Farm, Minors, Majors) of Sunset, elected or appointed to the Board cannot exceed a minority of the total board members.
Section 3.
ANNUAL ELECTION AND TERM OF OFFICE. Following the annual general membership meeting, the Officers will meet for the purpose of receiving the President's nominations to fill vacancies on the Board of Directors. Such nominees must be approved by a majority of the Officers (excluding the President). When nominated and approved, such Directors will immediately enter upon the performance of their duties and will continue in office until their successors have been duly nominated and approved.
Section 4.
VACANCIES. If any vacancy occurs on the Board of Directors by death, resignation or
otherwise, it will be filled by nomination of the President, with the approval of a majority of the Officers (excluding the President) at any regular meeting or at any special meeting called for that purpose.
Section 5.
MEETINGS, NOTICE AND QUORUM. Regular meetings of the Board of Directors will be held following the annual general membership meeting and on such days thereafter
as will be determined by the Board.
a) The President or Secretary may, whenever either of them deem it advisable, or the Secretary will at the written request of five (5) Directors, issue a call for a special meeting of the Board. In the case of a special meeting, such notice will include the purpose of the meeting and no other matters will be acted upon at the special meeting.
b) Notice of each meeting will be given by the Secretary to each Director either by mail at least three (3) days before the time appointed for the meeting or by telephone or personal notice twenty‑four (24) hours preceding the meeting.
c) A simple majority of members of the Board of Directors will constitute a quorum for the transaction of business. If a quorum is not present, no business shall be conducted.
d) Only members of the Board of Directors may make motions and vote at meetings of the Board of Directors. However, the Board of Directors may invite, admit and recognize guests for presentations or comments during Board meetings.
Section 6.
DUTIES AND POWERS. The Board of Directors has the authority to appoint standing committees and to delegate authority to them as the Directors deem advisable and which they may properly delegate.
The Board may adopt such rules and regulations for the conduct of its meetings and the management of Sunset as it may deem proper.
The Board has the authority, by a two‑thirds vote of those present at any regular or special meeting to discipline, suspend or remove any Director or Committee Member of Sunset in accordance with the procedure set forth in Article III, Section 3(a).
The Members will receive at the annual meeting a report verified by the President and the Treasurer, or by a majority of the Directors, showing the whole amount of funds and property owned by or in the possession of Sunset, where located and where and how invested, the amount and nature of the money and property acquired during the year immediately preceding, the manner of acquisition, the amount expended during the year immediately preceding such date and the purposes, objects or persons to or for which such expenditures have been made. The report will be filed with the records of Sunset and forwarded to the Western Region Little League Headquarters.
ARTICLE VII ‑ OFFICERS, DUTIES AND POWERS
Section 1.
NOMINATION AND APPROVAL. Nomination and approval of Sunset officers for the upcoming year will be conducted at the annual general membership meeting as set forth in Article V, Section 1.
Section 2.
OFFICERS. The Officers of Sunset will hold office for the ensuing year or until their successors are duly elected. The Officers will consist of:
PRESIDENT. The President shall:
a) Conduct the affairs of Sunset and execute the policies established by the Board of Directors.
b) Present a report of the status of Sunset at the annual meeting.
c) Communicate to the Board of Directors such matters as deemed appropriate and make suggestions that promote the objective as set forth in Article II and general well-being of Sunset.
d) Be responsible for the conduct of Sunset in conformity to the policies, principles and Rules and Regulations of Little League Baseball, Incorporated.
e) Make and execute for/and in the name of Sunset contracts and leases which have prior approval of the Board of Directors.
f) Investigate complaints, irregularities and conditions detrimental to Sunset and report thereon to the Board as circumstances warrant.
g) Prepare and submit an annual budget to the Board of Directors and be responsible for the execution thereof.
h) With the assistance of the Player Agent, examine the application and support proof‑of‑age documents of every player candidate and certify to residence and age eligibility before the player may be accepted for tryouts and selection.
VICE‑PRESIDENT. The Vice President shall:
a) In case of the absence or disability of the President, and provided he or she is authorized by the President or Board to so act, the Vice‑President will perform the duties of the President, and when so acting, will have all the powers of that office, and will have such other duties as assigned by the Board of Directors or the President.
SECRETARY. The Secretary shall:
a) Be responsible for recording the activities of Sunset and maintaining appropriate files and necessary records.
b) Perform such duties as are herein specifically set forth, in addition to such other duties as are customarily incident to the office of Secretary.
c) Maintain a mailing list of all Voting Members, Directors and Officers and give notice of all meetings of Sunset and the Board of Directors.
d) Keep the minutes of the meetings of the Members and the Board of Directors, and cause them to be recorded in a book for that purpose.
e) Conduct all correspondence not otherwise specifically delegated in connection with said meetings and be responsible for carrying out all orders, votes and resolutions not otherwise committed.
f) Notify Directors and Officers of their election or appointment.
TREASURER. The Treasurer shall:
a) Perform such duties as herein specifically set forth, and such other duties as are customarily incident to the Office of Treasurer or may be assigned by the Board.
b) Receive all monies and securities and deposit same in a depository approved by the Board of Directors.
c) Keep records for the receipt and disbursement of all monies and securities of Sunset, approve all payments from allotted funds and draw checks therefore in agreement with policies established in advance of such actions by the Board. All disbursements by check must have dual signatures.
d) Prepare an annual financial report, under the direction of the President, for submission at the annual meeting.
e) Prepare an annual budget, under the direction of the President, for submission at the annual meeting.
PLAYER AGENT. The Player Agent shall:
a) Record all player transactions and maintain an up‑to‑date record thereof.
b) Receive and review applications for player candidates and assist the President in checking residence and age eligibility.
c) Conduct the player draft and all other player transactions or selection meetings.
d) Prepare the Player Agent's list.
e) Prepare for the President's signature and submission to Little League Headquarters, team rosters, including players claimed under Regulations 2(d) and 4(h), and the tournament team eligibility affidavit.
f) Notify Little League Headquarters of any subsequent player replacement or trades.
SAFETY OFFICER. The Safety Officer shall:
a) Be responsible to create awareness, through education and information, of the opportunities to provide a safer environment for all participants of Little League Baseball.
b) Develop and implement a plan for increasing safety of activities, equipment and facilities through education, compliance and reporting.
Note: In order to implement a safety plan using education, compliance and reporting, the following suggestions may be utilized by the Safety Officer:
1) Education-Should facilitate meetings and distribute information among participants including players, league officials, parents, guardians, and other volunteers.
2) Compliance-Should promote safety compliance leadership by assisting league participants in their awareness of the safety opportunities that arise from these responsibilities.
3) Reporting-Define a process to assure that incidents are recorded. Information is sent to league/district and national offices. Follow‑up information, medical and/or other data is forwarded as available.
LEAGUE INFORMATION OFFICER. The League information Officer Shall:
a) Ensure that league news and scores are updated on a regular basis.
b) Collect, post and distribute important information on Sunset activities to Little League Baseball, District 8, public, league members, and media.
c) Serve as the primary contact person for Little League regarding optimizing use of Internet for Sunset administration and for distributing information to league members and to Little League Baseball.
COACHING COORDINATOR. The Coaching Coordinator shall:
a) Represent Sunset managers/coaches.
b) Implement a league-wide training program.
c) Distribute training materials to players, coaches and managers.
d) Coordinate mini-clinics as necessary.
e) Serve as the primary contact person for Little League and its manager-coach education program for the league.
ARTICLE XIII ‑ AFFILIATION AND RULES
Section 1.
CHARTER. Sunset will annually apply for a charter from Little League Baseball,
Incorporated, and will do all things necessary to obtain and maintain such charter.
Sunset will devote its entire energies to the activities authorized by such charter
and it will not be affiliated with any other program or organization or operate any other
program.
Section 2.
RULES AND REGULATIONS. The Official Rules and Regulations as published by Little League Baseball, Incorporated, Williamsport, PA will be binding on Sunset.
Section 3.
LOCAL LEAGUE RULES. The local rules of Sunset will be adopted by the Board of Directors at a meeting to be held at least one month prior to the first scheduled game of the season. The local rules of Sunset will in no way conflict with the Rules and Regulations of Little League Baseball, Incorporated.
ARTICLE IX ‑ FINANCIAL AND ACCOUNTING
Section 1.
The Board of Directors will decide all matters pertaining to the finances of Sunset
and it will place all funds in a common league treasury, directing the expenditure of funds in a manner that will give no team an advantage over another team.
Section 2.
The Board will not permit the contribution of funds or property to individual teams,
but will solicit same for the common treasury of Sunset, thereby to discourage favoritism among teams and to endeavor to equalize the benefits of Sunset for all.
Section 3.
The Board will not permit the solicitation of funds in the name of Little League Baseball
unless all of the funds so raised be placed in the Sunset treasury.
Section 4.
The Board will not permit the disbursement of Sunset funds for other than the
conduct of Little League activities in accordance with the rules and policies of Little League Baseball, Incorporated.
Section 5.
No Director, Officer or Member of Sunset will receive, directly or indirectly, any salary, compensation or emolument from Sunset for services rendered as Director, Officer or Member.
Section 6.
All monies received will be deposited to the credit of Sunset at Union Safe Deposit Bank and all disbursements will be made by check. All checks will be signed by at least two Board Members as the Board will determine. Sunset’s fiscal year begins October 1 and ends on September 30.
Section 7.
DISTRIBUTION OF PROPERTY UPON DISSOLUTION. Upon the dissolution of
Sunset and after all outstanding debts and claims have been satisfied, the Members will distribute the property of Sunset to such other Federally Incorporated entity maintaining an objective similar to that set forth herein, which are or may be entitled to exemption under Section 501 (c)(3) of the Internal Revenue Code or any future corresponding provision.
ARTICLE X - AMENDMENTS
This Constitution and Bylaws may be amended, repealed or altered in whole or in part by a majority vote at any duly organized meeting of the Voting Members provided notice of such proposed amendment, alteration, or repeal is included in the notice of meeting.
